Job Description
We’re looking for a Senior Counsel, Compliance and Litigation to join Procore’s Legal, Regulatory, & Compliance (“LRC”) Department. In this role, you will serve as legal advisor on commercial legal matters, provide practical legal solutions that manage risk, foster a culture of ethical business conduct, and protect the company’s brand over the long term. You’ll be part of a collegial environment where you will work as a trusted legal advisor serving as a key member of various cross-functional project teams. The ideal candidate will possess the skills needed to drive process improvement through training on best practices, creating toolkits, and implementing other effective solutions that can be scaled to achieve broad impact and sustainability.
As Senior Counsel, Compliance and Litigation, you’ll partner with cross-functional teams, including LRC, Compliance, Sales/Go-To-Market, Customer Support, Finance, IT, and Internal Audit. We are looking for a creative problem-solver with a results-oriented focus who excels in a fast-paced, dynamic environment.
This position will report to our Vice President & Associate General Counsel, Global Litigation, Employment Law, Ethics & Compliance. This role can be remote or based in one of Procore’s U.S.-based office locations. We’re looking for someone to join us immediately.
WHAT YOU'LL DO
Work closely with other LRC team members and various business partners to manage and mitigate legal risks, ensuring that Procore operates in compliance with internal policies, external regulations, contractual obligations, and industry best practices
Serve as legal advisor in support of the company's policy and risk management strategies, including reviewing and developing compliance policies, procedures, and training initiatives aimed at fostering a culture of compliance within the organization
Conduct and advise on internal investigations and ensure consistent implementation of recommended corrective actions based on investigative findings and root cause assessments
Develop and implement scalable and practical legal solutions that ensure compliance with regulatory and contractual requirements and support efficient resolution of third-party subpoenas, escalated commercial/customer disputes, and regulatory inquiries/investigations
Manage global commercial litigation (offensive and defensive) from initial demand through final resolution, including (i) providing stakeholders with risk assessments, financial impact analysis, and solutions to resolve matters efficiently; (ii) collaborating with other subject matter experts within the LRC team to ensure consistency and alignment in litigation approaches; (iii) managing outside counsel and establishing and managing budgets; (iv) serving as an advisor for document retention policies and in-house e-discovery matters; and (v) supporting the Employment Law and Intellectual Property (“IP”) teams on employment or IP litigation as appropriate
Track and report on the status and outcomes of investigations, litigation matters, and dispute resolution issues
Monitor trends and legal developments, particularly those that impact the SaaS and technology industries, analyze the implications for the company, ensure the company is well-positioned to respond and react accordingly, and assist in developing training materials for internal teams on legal and compliance topics relevant to the industry and workforce
WHAT WE ARE LOOKING FOR
JD from an accredited law school and must be admitted, active, and in good standing with the state bar in which the position is located, or with another state bar and registered, or eligible to register, as in-house counsel with the state bar in which the position is located
8+ years of experience as a practicing attorney with extensive experience with commercial litigation/arbitration, including (i) hands-on trial work as first chair or second chair; (ii) responsibility for independently managing complex disputes with customers and third parties; and (iii) advising multinational business clients on litigation and risk-mitigation strategies including 3+ years of experience as in-house counsel (ideally at a SaaS or other high-growth technology company)
Expertise in legal risks and regulations applicable to SaaS and technology industries (experience providing post-deal legal support to sales, customer service, and billing departments is a plus) and a strong understanding of relevant laws and regulations governing multinational, U.S.-based business-to-business SaaS companies doing business globally (current international locations include Canada, Costa Rica, Australia, India, UAE, Egypt, Czech Republic, UK, and Ireland)
Demonstrated deep experience managing disputes from initial demand through final resolution, including providing stakeholders with risk assessments, financial impact analysis, and potential legal solutions to resolve disputes efficiently; drafting legal documents, conducting research, managing legal holds and e-discovery, and engaging in settlement negotiations
Demonstrated experience (i) developing, drafting, and implementing corporate policies and procedures; and (ii) supporting corporate compliance programs that address U.S. federal and SLED procurement statutory and contractual requirements (expertise with FedRAMP and CMMC is a plus)
Highly agile, results-oriented, tenacious, and resilient self-starter with the ability to manage shifting client demands and priorities in a fast-paced, global, high-growth environment
Outstanding interpersonal skills and demonstrated ability to navigate a dynamic workplace to identify and collaborate with key stakeholders, influence without direct authority, and interface effectively with all business functions and levels to drive business initiatives
Excellent written and verbal communication skills with demonstrated ability to simplify legal technicalities into appropriately risk-adjusted, business-oriented advice, marshal buy-in, and drive change and create effective and relevant presentation/training materials in visually captivating mediums (e.g., PowerPoint, videos, appropriate engagement of external vendors and applications)
Additional Information
Base Pay Range $200,000 - $275,000. Eligible for Bonus Incentive Compensation. Procore is committed to offering competitive, fair, and commensurate compensation, and has provided an estimated pay range for this role. Actual compensation will be based on a candidate’s job-related skills, experience, education or training, and location.
